Recently, a draft legislation for public comments was issued to amend the classification standards of SMEs (the \u201cDraft\u201d)<sup><a href=\"file:\/\/\/Users\/sf\/Documents\/Projects\/asiallians\/PRC%20legel%20update%20180511\/2021%200504\/r1\/asiallians.createsend.com.html#_ftn2\" name=\"_ftnref2\">2<\/a><\/sup>. We summarize the following for your better understanding of the Draft:<\/p>\n<p><strong>1. What are the major changes in the Draft?<\/strong><\/p>\n<p>We just take three important industries as examples:[\/vc_column_text][vc_empty_space][vc_single_image image=&#8221;40193&#8243; img_size=&#8221;full&#8221; qode_css_animation=&#8221;&#8221;][vc_empty_space][vc_column_text]<strong>2. How to check if an enterprise is on the list of SMEs?<\/strong><\/p>\n<p><strong>\u2022<\/strong>\u00a0The official website for checking is: http:\/\/xwqy.gsxt.gov.cn\/<sup><a href=\"file:\/\/\/Users\/sf\/Documents\/Projects\/asiallians\/PRC%20legel%20update%20180511\/2021%200504\/r1\/asiallians.createsend.com.html#_ftn4\" name=\"_ftnref4\">4<\/a><\/sup><\/p>\n<p><strong>\u2022<\/strong>\u00a0You can enter your company name to see if it is on the list of SMEs.<\/p>\n<p><strong>\u2022<\/strong>\u00a0There is no need for an enterprise to file an application to be added in the list of SMEs. According to the latest statistics, till December 2020, users of livestreaming shopping in China reached 388 million, accounting for 39.2% of the country\u2019s total internet users<sup><a href=\"file:\/\/\/Users\/sf\/Documents\/Projects\/asiallians\/PRC%20legel%20update%20180511\/2021%200504\/r1\/asiallians.createsend.com.html#_ftn6\" name=\"_ftnref6\">6<\/a><\/sup>. To better regulate the booming livestreaming shopping, on April 24, 2021, China issued trial measures which will enter into force on May 25, 2021. We highlight the following points for your attention:<\/p>\n<p><strong>1. Restrictions on age<\/strong><\/p>\n<p>For livestreaming operators\/sales persons, young persons who are not reaching the age of 16 are not allowed anymore.<\/p>\n<p>For young persons who reach 16 but is still under 18, their parents\u2019 consent shall mandatorily be obtained.<\/p>\n<p><strong>2. Blacklist<\/strong><\/p>\n<p>The livestreaming platforms shall establish a blacklist for individuals who breach the laws and regulations during the livestreaming shows (e.g. infringing IP rights, promoting pyramid selling, falsifying transaction records, etc.). The blacklist shall be further shared with governmental bureau in charge<sup><a href=\"file:\/\/\/Users\/sf\/Documents\/Projects\/asiallians\/PRC%20legel%20update%20180511\/2021%200504\/r1\/asiallians.createsend.com.html#_ftn7\" name=\"_ftnref7\">7<\/a><\/sup>.<\/p>\n<p>(<a href=\"http:\/\/www.cac.gov.cn\/2021-04\/22\/c_1620670982794847.htm\" target=\"_blank\">http:\/\/www.cac.gov.cn\/2021-04\/22\/c_1620670982794847.htm<\/a>)[\/vc_column_text][\/vc_column][\/vc_row][vc_row row_type=&#8221;row&#8221; use_row_as_full_screen_section=&#8221;no&#8221; type=&#8221;full_width&#8221; angled_section=&#8221;no&#8221; text_align=&#8221;center&#8221; background_image_as_pattern=&#8221;without_pattern&#8221; padding_top=&#8221;50&#8243; padding_bottom=&#8221;50&#8243; css_animation=&#8221;&#8221;][vc_column css=&#8221;.vc_custom_1517373139965{background-image: url(http:\/\/asiallians.com\/wp-content\/uploads\/2018\/01\/Picture1.png?id=18554) !important;}&#8221;][vc_empty_space][vc_column_text]<strong><span style=\"color: #ffffff; font-size: 20px;\">Civil Code: SPC Further Clarifies Civil Code<\/span><\/strong>[\/vc_column_text][vc_empty_space height=&#8221;70px&#8221;][\/vc_column][\/vc_row][vc_row row_type=&#8221;row&#8221; use_row_as_full_screen_section=&#8221;no&#8221; type=&#8221;full_width&#8221; angled_section=&#8221;no&#8221; text_align=&#8221;left&#8221; background_image_as_pattern=&#8221;without_pattern&#8221; css_animation=&#8221;&#8221;][vc_column][vc_column_text]On April 25, 2021, the Supreme People\u2019s Court (\u201cSPC\u201d) issued working minutes<sup><a href=\"file:\/\/\/Users\/sf\/Documents\/Projects\/asiallians\/PRC%20legel%20update%20180511\/2021%200504\/r1\/asiallians.createsend.com.html#_ftn8\" name=\"_ftnref8\">8<\/a><\/sup>\u00a0for implementing the Civil Code (the \u201cMinutes\u201d), in which few uncertain issues are clarified, we highlight the following two points for your attention:<\/p>\n<p><strong>1. Liquidated damages<\/strong><\/p>\n<p>Pursuant to Civil Code, if the amount of liquidated damages agreed in contract is \u201cexcessively higher\u201d than the actual loss suffered, upon request of the defaulting party, the court\/arbitral tribunal may reduce the amount of liquidated damages appropriately.<sup><a href=\"file:\/\/\/Users\/sf\/Documents\/Projects\/asiallians\/PRC%20legel%20update%20180511\/2021%200504\/r1\/asiallians.createsend.com.html#_ftn9\" name=\"_ftnref9\">9<\/a><\/sup>\u00a0Previously, it is not clear on how to define \u201cexcessively higher\u201d.<\/p>\n<p>It is clearly explained in the Minutes now that if the liquidated damages are higher than 30% of the loss<sup><a href=\"file:\/\/\/Users\/sf\/Documents\/Projects\/asiallians\/PRC%20legel%20update%20180511\/2021%200504\/r1\/asiallians.createsend.com.html#_ftn10\" name=\"_ftnref10\">10<\/a><\/sup>\u00a0calculated, then it is defined as \u201cexcessively higher\u201d.<\/p>\n<p><strong>2. \u201cCoercion\u201d<\/strong><\/p>\n<p>Under Civil Code, if a civil juristic act is performed under coercion, the suffering party is entitled to request the court\/arbitral tribunal to revoke such act.<sup><a href=\"file:\/\/\/Users\/sf\/Documents\/Projects\/asiallians\/PRC%20legel%20update%20180511\/2021%200504\/r1\/asiallians.createsend.com.html#_ftn11\" name=\"_ftnref11\">11<\/a><\/sup>However, Civil Code only stipulates that coercion means an act performed by a party which is against his\/her real intention.<\/p>\n<p>The Minutes add more details on coercion, which are:<\/p>\n<p>(1) threatening people by causing damage on his\/her life, body, health, reputation, honor, privacy, or property.<\/p>\n<p>(2) threatening people by causing damage on his\/her relatives\u2019 life, body, health, reputation, honor, privacy, or property.<\/p>\n<p>(3) threatening organizations<sup><a href=\"file:\/\/\/Users\/sf\/Documents\/Projects\/asiallians\/PRC%20legel%20update%20180511\/2021%200504\/r1\/asiallians.createsend.com.html#_ftn12\" name=\"_ftnref12\">12<\/a><\/sup>\u00a0by causing damage on reputation, honor, or property of organizations.<\/p>\n<p>(<a href=\"https:\/\/xw.qq.com\/partner\/sxs\/20210421A090WF\/20210421A090WF00?ADTAG=sxs&amp;pgv_ref=sxs\" target=\"_blank\">https:\/\/xw.qq.com\/partner\/sxs\/20210421A090WF\/20210421A090WF00?ADTAG=sxs&amp;pgv_ref=sxs<\/a>)<\/p>\n<p>&nbsp;<\/p>\n<p>Should you have any inquiry about the above, please contact us at\u00a0<a href=\"mailto:asiallians@asiallians.com\">asiallians@asiallians.com<\/a>.<\/p>\n<p>As always, Asiallians remains at your service and our teams are currently mobilized in all our offices in Mainland China, in Hong Kong and in Taipei.<\/p>\n<p>&nbsp;<\/p>\n<p class=\"size-16\" lang=\"x-size-16\"><a href=\"file:\/\/\/Users\/sf\/Documents\/Projects\/asiallians\/PRC%20legel%20update%20180511\/2021%200504\/r1\/asiallians.createsend.com.html#_ftnref1\" name=\"_ftn1\">1.<\/a>\u00a0See our previous newsletters for an example: Tax: New Preferential CIT Policy for Small and Micro Enterprises.<\/p>\n<p class=\"size-16\" lang=\"x-size-16\"><a href=\"file:\/\/\/Users\/sf\/Documents\/Projects\/asiallians\/PRC%20legel%20update%20180511\/2021%200504\/r1\/asiallians.createsend.com.html#_ftnref2\" name=\"_ftn2\">2.<\/a>\u00a0The Chinese name of the Draft Legislation: \u4e2d\u5c0f\u4f01\u4e1a\u5212\u578b\u6807\u51c6\u89c4\u5b9a\uff08\u4fee\u8ba2\u5f81\u6c42\u610f\u89c1\u7a3f\uff09.
